End User License Agreement

The following license agreement applies to all Music Sound Software plugins. Please read it carefully before installing or using the software. By installing or using any plugin, you agree to be bound by these terms.

1. Definitions

"Software" means the Bluewave synthesizer plugin, including all associated files, documentation, updates, and related components.

"Licensor" means Music Sound Software, registered in Australia (ASIC), operating at musicsoundsoftware.com.au.

"Licensee" or "You" means the individual or entity that has purchased a valid license key.

"License Key" means the unique alphanumeric code (format XXXXXXXX-XXXXXXXX-XXXXXXXX-XXXXXXXX) issued upon purchase.

"Authorized Computer" means a computer on which you have activated the Software using your License Key.

2. Grant of License

The Licensor grants you a non-exclusive, non-transferable, limited license to install and use the Software for personal or professional audio production.

You may:

  • Install and activate the Software on up to two (2) computers you personally own or control.
  • Use the Software in any compatible DAW for personal, professional, or commercial audio production.
  • Create, record, distribute, broadcast, or sell music created using the Software.
  • Deactivate the Software on one computer and re-activate it on another, provided no more than two activations are live simultaneously.

You may not:

  • Copy, distribute, sublicense, sell, or transfer the Software to any third party.
  • Share, lend, rent, or provide your License Key to any other person.
  • Reverse engineer, decompile, or disassemble the Software, except as permitted by law.
  • Modify, adapt, or create derivative works based on the Software.
  • Circumvent the license activation or machine-limit enforcement systems.

3. License Activation

Your License Key is valid for activation on a maximum of two (2) computers simultaneously, enforced server-side. You may deactivate via the built-in License dialog at any time, freeing that slot for another machine. The Software performs a background license validation no more frequently than once every 24 hours. An offline grace period of 14 days applies before a server check is required.

4. Ownership & Intellectual Property

The Software is licensed, not sold. The Licensor retains all rights, title, and interest including all intellectual property rights. Audio output you create using the Software is your own property — the Licensor makes no claim to it.

5. Updates & Upgrades

Bug-fix and maintenance updates, when provided, are available free of charge under your existing license and are provided at the Licensor's discretion. The Licensor cannot guarantee that updates will be provided indefinitely. Major version upgrades that introduce significant new features may require the purchase of a new license. The Licensor is not obligated to provide any updates, support, or new versions.

6. Support

Music Sound Software is operated by a single independent developer. While technical support may be offered at the Licensor's discretion via musicsoundsoftware.com.au, individual support cannot be guaranteed. No guarantees are made regarding response times or resolution of technical issues.

7. Disclaimer of Warranties

The Software is provided "as is", without warranty of any kind, express or implied. To the maximum extent permitted by applicable law, the Licensor disclaims all warranties, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

While considerable effort has been made to produce reliable, bug-free software, the Licensor does not warrant that the Software will be error-free, uninterrupted, or free of defects. The Software may contain bugs. You accept the Software in its current state and assume all risk arising from its use.

Nothing in this clause excludes rights that cannot be excluded under applicable Australian consumer protection law, including the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)).

8. Limitation of Liability

To the maximum extent permitted by applicable law, the Licensor shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of data, loss of goodwill, business interruption, or any other commercial loss, arising from or related to your use of or inability to use the Software.

The Licensor's total cumulative liability shall not exceed the amount you paid for the Software in the twelve (12) months preceding the claim. This limitation applies even if the Licensor has been advised of the possibility of such damages.

Nothing in this Agreement excludes liability that cannot be excluded under applicable law, including liability for death or personal injury, fraud, or any liability under the Australian Consumer Law.

9. Refund Policy

Due to the digital nature of the Software, all sales are generally considered final. Refund requests are considered on a case-by-case basis. Nothing in this clause affects any rights you may have under the Australian Consumer Law.

10. Termination

This Agreement is effective from the date of first installation and continues until terminated. The Licensor may terminate immediately upon breach of any term. Upon termination, you must cease all use and destroy all copies. Clauses 4, 7, 8, 11, and 12 survive termination.

11. Governing Law

This Agreement is governed by the laws of the Commonwealth of Australia. Any disputes arising from this Agreement shall be subject to the jurisdiction of the courts of Australia.
